1. What this agreement covers
This co-marketing agreement sets the terms between All In NOLA, powered by deMAURIAC, and any business or 501(c)(3) organization selected to participate in a Community Giveback event. It applies from the moment an application is submitted through 90 days after the event date.
It is a marketing collaboration. It does not create a partnership, joint venture, employment relationship, franchise, or agency relationship between the parties.
2. What All In NOLA provides
Event strategy, run of show, coordination with the host and nonprofit, vendor outreach, marketing assets, social and email promotion, and media placements where available.
A named nonprofit spotlight during the event, and a dedicated event page with RSVP collection.
Post-event reporting on attendance and, where measurable, funds directed to the nonprofit partner.
3. What the host business agrees to
Provide the venue for the agreed date and hours, with normal staffing and service, at no rental cost to All In NOLA unless separately agreed in writing.
Offer the agreed specials, menu items, or giveback mechanic, and honor them for the full event window.
Promote the event to its own audience at least twice before the event date, crediting All In NOLA and deMAURIAC as described in section 5.
Hold all licenses, permits, and insurance required for its own operations, including any alcohol service, and remain solely responsible for food and beverage safety and for its premises.
Report the agreed giveback amount within 14 days of the event and remit it directly to the nonprofit partner.
4. What the nonprofit community partner agrees to
Confirm current 501(c)(3) status and provide an EIN and a contact authorized to speak for the organization.
Send at least one representative to speak briefly about the organization's work and to greet attendees.
Promote the event to its own audience at least twice before the event date.
Receipt all charitable gifts directly, and handle donor acknowledgment and tax receipting. All In NOLA does not take a percentage of nonprofit fundraising.
Use funds raised for its stated charitable purpose.
5. Brand and logo usage
Each party grants the others a limited, non-exclusive, royalty-free license to use its name and logo solely to promote the specific event, for the duration of this agreement.
All In NOLA and deMAURIAC marks must follow the published brand guidelines. Marks may not be recolored, redrawn, combined into a new lockup, or used in a way that implies endorsement of a product, service, or candidate.
First reference in any promotion reads: All In NOLA, powered by deMAURIAC.
No party may state or imply that a nonprofit endorses a business, sponsor, or product beyond the night it is featured.
Either party may withdraw its logo license going forward by written notice; materials already printed or published need not be recalled.
6. Photography, video, and content
All In NOLA may photograph and record the event and use that content for recaps, press, and future promotion, and grants the host and nonprofit the same right to use event content for their own non-paid promotion with credit.
Attendees are notified that photography occurs. Any individual may ask to be excluded, and the parties will honor reasonable requests.
Neither party may sell event content to a third party without written consent.
7. Data and attendee information
RSVP and attendee contact information collected by All In NOLA is held by All In NOLA and is not sold. It is not shared with the host or nonprofit unless the attendee opts in.
Each party remains responsible for its own compliance with applicable privacy and anti-spam law for lists it controls.
8. Money, fees, and tax treatment
Applying and participating is free. All In NOLA charges hosts and nonprofit partners no fee to be selected.
Charitable gifts collected at an event go directly to the named 501(c)(3) partner and are receipted by that organization.
Optional donations made on this website support the production of current and future All In NOLA events. 100% of proceeds from donations made on this webpage, above basic costs, go directly to local nonprofits annually.
Each party bears its own costs, taxes, and staffing unless a separate written collab or vendor agreement says otherwise.
9. Changes, cancellation, and force majeure
Either party may request a date change with at least 14 days written notice. All In NOLA will make reasonable efforts to reschedule.
An event may be postponed or cancelled for weather, public safety, venue closure, illness, or other circumstances outside a party's reasonable control, with no penalty to any party.
All In NOLA may remove a participant, before or after selection, if the participant's conduct, public statements, or legal status would materially harm attendees, the nonprofit partner, or the series.
10. Conduct and non-discrimination
Events are open to the public and welcoming to all. Harassment, discrimination, and political campaigning are not permitted at events or in event promotion.
No party may use an event for partisan political activity or for the promotion of a candidate or ballot measure.
11. Liability
Each party is responsible for its own acts, omissions, employees, contractors, and premises, and will indemnify the others against claims arising from them.
No party is liable to another for indirect, incidental, or consequential damages, including lost profits, arising from an event.
Nothing in this agreement limits liability that cannot be limited under applicable law.
12. Governing terms
This agreement is governed by the laws of the State of Louisiana, with venue in Orleans Parish.
Amendments must be in writing and agreed by the parties. Event-specific details, including date, hours, giveback mechanic, and named partners, are confirmed in writing by email and become part of this agreement.
